The rules for working with Simeon Solutions and for using this website. Last updated .
These Terms are a binding agreement between Simeon Digital Ltd, trading as Simeon Solutions ("Simeon", "we", "us"), Kochi, Kerala, India, and you, the person or business using this website or engaging us for services ("you", "the Client"). By using the website, requesting a quote, paying an invoice or signing a proposal, you accept these Terms. If you are acting for a company, you confirm you are authorised to bind it.
1. What we do
We design and build websites, web applications, portals and catalogues; provide search, Google Business Profile and AI-search (AEO/GEO) services; build automations and AI assistants; and supply point-of-sale, billing and systems-integration work. The specific work for you is the work described in a written proposal, quote, estimate or statement of work that we issue ("the Scope"). Only written scope counts. Anything not listed in the Scope is out of scope and is quoted separately. Conversations, WhatsApp messages and calls do not change the Scope unless we confirm the change in writing.
2. Quotes, estimates and prices
- Prices on this website, on /pricing and in the quote builder are indicative and exclude GST unless stated. They become binding only when we issue a written quote and you accept it.
- A written quote is valid for 14 days unless it says otherwise. We may withdraw or revise an unaccepted quote at any time.
- Estimates produced by the quote builder, the "Ask Simeon" assistant or any tool on this site are automated approximations, not offers.
- Prices are in Indian Rupees and exclude 18% GST. Overseas clients are invoiced in AED, CAD or USD at the rate we state on the quote; bank charges and currency differences are yours.
3. Payment
- Work starts after the advance on the quote is received. Advances are non-refundable: they cover discovery, planning and reserved capacity, which are consumed whether or not the project proceeds.
- Larger projects are billed by milestone. Each milestone invoice is due within 7 days. A milestone is considered approved, and its invoice payable, when you have used it, when you have not raised written objections within 5 working days of delivery, or when you ask us to proceed to the next milestone.
- Monthly services (retainers, SEO, Google Business Profile management, hosting, support) are billed in advance and are due on the invoice date.
- Late payments accrue interest at 1.5% per month (or the maximum permitted by law, if lower) from the due date, plus our reasonable costs of recovery. We may pause work, hosting, support and access to deliverables while any amount is overdue, and we are not liable for the consequences of that pause.
- You may not withhold or set off payment because of disputes about other work, other invoices or third-party services.
4. Your responsibilities
- You provide the content, images, logos, product data, access credentials, approvals and decisions we ask for, and you provide them promptly. Feedback and approvals are due within 5 working days of a request; timelines extend by at least the length of any delay.
- You are responsible for the accuracy and legality of everything you give us to publish, including prices, claims, licences, certifications, testimonials and personal data.
- If we hear nothing from you for 30 days on an active project, we may treat it as paused. Paused projects restart at our next available slot and may be re-quoted. Amounts already invoiced remain payable.
- Third-party accounts (domain, hosting, Google, Meta/WhatsApp, payment gateways, Tally, Zoho, ERP, SIM/phone numbers) are yours to open, own and pay for. Where we operate them on your behalf you authorise us to do so.
5. Intellectual property
- Simeon owns all code, designs, components, frameworks, prompts, tooling, configurations, documentation, know-how and methods it creates or uses, including everything created for your project ("Simeon Materials").
- When you have paid every invoice for a project in full, we grant you a perpetual, non-exclusive, non-transferable licence to use the deliverables for the business named in the Scope. Until then, all deliverables remain our property, and we may withhold, disable or remove them.
- Your licence does not cover reselling, sublicensing or reusing the deliverables for other businesses, or removing our credits without written consent.
- Open-source and third-party components remain under their own licences. Fonts, stock images, plugins and services you asked for are licensed to you directly by their owners.
- We may reuse general techniques, patterns and non-client-specific components in other work. We may describe and show your project, name and logo in our portfolio, case studies, proposals and social channels unless you tell us in writing before launch that you object.
- Content you supply stays yours; you grant us a licence to use it to deliver and showcase the work.
6. Search engines, AI engines and results
Search rankings, AI citations, traffic, enquiries, reviews and revenue depend on Google, OpenAI, Anthropic, Perplexity, Meta and others, on your competitors and on your own business. We make no promise of any ranking, citation, position, traffic level, lead count or commercial outcome. Reports we provide describe what we did and what we observed, not a guarantee of what will happen.
7. Support, maintenance and retainers
- Each project includes a 30-day period after launch in which we fix defects in our own work at no charge. Changes of mind, new features, content updates and issues caused by third parties or by changes you made are chargeable.
- Retainers run month to month and renew automatically. Either side may end a retainer with 30 days' written notice. Unused hours or tasks do not roll over, and prepaid periods are not refunded.
- Work outside the retainer is charged at our then-current hourly or fixed rate, quoted in advance where practical.
8. Third-party services, hosting and outages
We build on services such as Vercel, Supabase, Cloudflare, Google, Meta/WhatsApp, Resend, Anthropic, Razorpay and others. Their availability, prices, policies and API changes are outside our control. We are not liable for downtime, data loss, suspended accounts, blocked messages, price increases or feature changes caused by a third-party service, nor for work needed to adapt to such changes, which is chargeable.
9. Warranties and disclaimers
Except for the 30-day defect window in clause 7, services and deliverables are provided "as is". To the fullest extent permitted by law we exclude all warranties, express or implied, including fitness for a particular purpose, uninterrupted or error-free operation, compatibility with future browsers, devices or platforms, and security against every possible attack. You are responsible for backups of your data and content unless a backup service is expressly in the Scope.
10. Limitation of liability
- Our total liability to you for all claims arising out of a project or service, whether in contract, tort (including negligence), statute or otherwise, is limited to the fees you paid us for that specific project or service in the three months before the event giving rise to the claim.
- We are not liable for indirect, incidental, special, consequential or punitive loss, loss of profit, revenue, business, goodwill, data or anticipated savings, or the cost of substitute services, even if advised of the possibility.
- Nothing in these Terms limits liability that cannot be limited under Indian law.
- Any claim must be raised in writing within 6 months of the event; after that it is waived.
11. Indemnity
You will indemnify and hold harmless Simeon, its founder, staff and contractors against all claims, losses, damages, fines and costs (including legal fees) arising from content or data you supplied, instructions you gave, your use of the deliverables, your breach of these Terms, or your breach of any law, licence or third-party right.
12. Confidentiality
Each side keeps the other's non-public business information confidential and uses it only for the project. This does not cover information that is public, already known, independently developed or required to be disclosed by law. Our right to showcase work (clause 5) is an agreed exception.
13. Termination
- Either side may end a project or service with 30 days' written notice. We may end immediately if an invoice is more than 14 days overdue, if you breach these Terms, or if continuing would expose us to legal, reputational or security risk.
- On termination you pay for all work done and costs committed up to the termination date, including the current milestone. Advances and prepaid periods are not refunded.
- Handover of code, content, accounts and credentials happens after full payment. Until then we may retain them.
- Clauses 5, 6, 9, 10, 11, 12, 14 and 16 survive termination.
14. Non-solicitation
During a project and for 12 months after it, you will not directly or indirectly employ or engage any Simeon staff member or contractor who worked on your project without our written consent. If you do, you agree to pay a fee equal to that person's annual remuneration as reasonable compensation for recruitment and training.
15. Using this website and our free tools
- The AI-visibility checker, the "Ask Simeon" assistant, the quote builder, the glossary and the articles are provided for general information. They may be wrong, incomplete or out of date, and they are not professional, legal or financial advice. Use them at your own risk.
- You may not scrape, overload, reverse-engineer, probe or misuse the website or its APIs, use them to check sites you have no right to test, submit false or abusive enquiries, or attempt to access other people's data. We may block any user without notice.
- All website content, branding and code is ours or our licensors' and may not be copied or reused without permission, beyond ordinary browsing and sharing links.
16. Governing law and disputes
- These Terms and every engagement are governed by the laws of India.
- Any dispute is first raised in writing and discussed in good faith for 30 days. If unresolved, it is referred to arbitration by a sole arbitrator appointed by Simeon under the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration is Kochi, Kerala; the language is English; the award is final and binding.
- Subject to the above, the courts at Ernakulam, Kerala have exclusive jurisdiction. Nothing prevents us from seeking urgent injunctive relief or recovering unpaid amounts in any competent court.
17. General
- Neither side is liable for delay caused by events beyond its reasonable control (power, internet, natural events, strikes, government action, platform outages, illness).
- We may update these Terms by posting a new version here; the date at the top changes. New Terms apply to work quoted after that date. Continued use of the website means acceptance.
- If any clause is unenforceable, the rest still applies. These Terms, the accepted quote and the Privacy Policy are the entire agreement and replace anything said earlier. Our failure to enforce a right is not a waiver. You may not assign this agreement without our consent; we may assign it to a successor business.
